RESOLUTION N0.15-1865 INITIAL RESOLUTION OF THE CITY COUNCIL OF LEBANON DETERMINING TO ISSUE WATER AND SEWER REVENUE AND TAX QUALIFIED ENERGY CONSERVATION BONDS OF THE CITY OF LEBANON, TENNESSEE IN AN AGGREGATE PRINCIPAL AMOUNT OF NOT TO EXCEED THREE MILLION FIVE HUNDRED THOUSAND DOLLARS. WHEREAS, it is necessary and in the public interest of the City of Lebanon, Tennessee (the Municipality) to issue water and sewer revenue and tax qualified energy conservation bonds in an aggregate principal amount of not to exceed $3,500,000 (the Bonds) for the purposes hereinafter provided; and WHEREAS, pursuant to Section 9-21-205, Tennessee Code Annotated, prior to the issuance of any bonds secured by the general obligation of a local government, the governing body of the local government proposing to issue said bonds shall adopt a resolution determining to issue the same; and WHEREAS, for the purpose of complying with the requirements of said statute, the City Council of the Municipality adopts this Resolution. NOW, THEREFORE BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LEBANON, TENNESSEE : Section 1. Purpose. For the purposes of financing (a) all or a portion of the costs of the acquisition of land for and the planning, design, development, construction, renovation, modification, improvement, upgrade, expansion, repair, maintenance, rehabilitation, equipping and/or acquisition of a biomass gasification facility for the water and sewer system of the Municipality (the System) for a qualified conservation purpose (as defined in Section 54D of the Internal Revenue Code of 1986, as amended), (b) acquisition of all property, real and personal, appurtenant to the foregoing, (c) legal, fiscal, administrative, architectural and engineering costs incident to all the foregoing, (d) all other costs authorized to be financed pursuant to Section 9-21-109, Tennessee Code Annotated, including without limitation, costs of issuance of the Bonds, and (e) the reimbursement of the payment of costs described in (a) and (b) above incurred not earlier than sixty days before the adoption of this Resolution, the City Council hereby determines to issue the Bonds in an aggregate principal amount of not to exceed $3,500,000, which shall bear interest at a rate or rates not to exceed the maximum rate permitted under applicable law, and which shall be payable from and secured by a pledge of the income and revenues to be derived from the operation of the System, subject only to the payment of the reasonable and necessary costs of operating, maintaining, repairing and insuring the System and to prior pledges of such revenues in favor of certain prior lien obligations. In the event of a deficiency in such revenues, the Bonds are payable from unlimited ad valorem taxes to be levied on all taxable property within the corporate limits of the Municipality.
